Minimum CRM Terms of Service

This is an agreement between you or the entity that you represent and Hermes İnternet İletişim Yazılım San. Ve Tic. A.Ş. (“Hermes İletişim”) governing your use of www.minimumcrm.com websites, and associated Hermes İnternet İletişim Yazılım San. Ve Tic. (“Minimum CRM” or “Service”). Please read these Terms carefully before signing up to Minimum CRM. By submitting the sign up form to Minimum CRM you agree to be bound by the following Terms of Service (“Terms”) and this agreement becomes effective upon your submission of sign up form of Minimum CRM. If you are using Minimum CRM on behalf of your organization, or have “Administrator” level access to your company’s account in Minimum CRM, you also agree to these Terms on behalf of your organization, and declare that you are duly authorized to do so.
Hermes İletişim reserves the right to change and update the Terms at any time without notice.
User Responsibilities
You must be a human and of legal age in the country of your residence to accept these terms and to use the Service. Automated user signups, or accounts intended for use by automated systems are not allowed under these terms.
You warrant that any information including but not limited to your name, surname, email address, billing information and any other information you supply to Hermes İletişim is correct, legally accurate and valid. You must maintain this information accurate at all times and promptly update if it should change.
Your username and password may only be used by one person. Sharing a single username and password with other people is not permitted.
You are responsible for maintaining the security of your username and password. Hermes İletişim cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
Should you ever suspect that your password may have been exposed, you must immediately change it from a secure terminal, and alert us and other users whose information may have been compromised due to this exposure.
You may not register or access the Service using any method other than www.minimumcrm.com website or other authorized communication channels. Automated registration or access methods are not permitted.
Any activity you perform using Minimum CRM must be legal in the country you operate in, as well as in the United States of America and the European Union, where some of our servers that host your data may be located in.
You are responsible for all of activity and stored content associated with your username, as well as the activity and content associated with users of a company in Minimum CRM where you are an Administrator.
Any content that you may receive from other users of the Service, is provided to you AS IS for your information and personal use only and you agree not to use, copy, reproduce, distribute, transmit, broadcast, display, sell, license or otherwise exploit such content for any purpose, without the express written consent of the person who owns the rights to such content.
You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of Service, violate any laws in your jurisdiction, the United States of America, or the European Union, including but not limited to copyright laws.
You warrant that the content uploaded to the Service does not contain or install any viruses, worms, malware, Trojans or other harmful or destructive content.
General Terms of Use
Your use of the service is at your sole risk. The service is provided on an AS IS and AS AVAILABLE basis.
You understand that Hermes İletişim uses third party vendors and hosting partners to provide the necessary hardware, software, networking, infrastructure, data centers, internet connections, storage and related technology required to run the Service.
You understand that the following activities are specifically prohibited:

Attempting to access, modify, corrupt, or tamper with parts of the Service that were not intended to be available to you.

Using Minimum CRM to distribute malware, or to direct others to malicious sites, or breaching other people’s data security in any way. Uploading infected files, embedding malicious scripts, or linking to malicious websites or other content are considered among such activities.

Attempting to discover or exploit vulnerabilities of the system, breaching security mechanisms, or otherwise circumventing protective measures. Scanning for communication ports, probing, automated serial login attempts, etc. are considered among such activities.

Accessing the resources of the system using any method other than our website or other authorized communication channels.

Automatically uploading or downloading content, scraping, reformatting, re-purposing it before presentation to the user by unauthorized clients, intermediary software or services.

Modifying, adapting or hacking the Service or modifying another website so as to falsely imply that it is associated with the Service without the express written permission by Minimum CRM.

Using Minimum CRM to send unsolicited communications or spamming.

Using Minimum CRM to falsify or hide your identity, send deceptive information.

Sharing or distributing infringing, misleading, false, or fraudulent content.

Using trademarks or names of others without authorization.

Storing, sharing, or sending content or engaging in any kind of activity that is unlawful.

Reselling the Service.

Storing, sharing, or sending content or engaging in any kind of activity that encourages, promotes, or facilitates religious, ethnic, or racial hatred.
You understand that some of your content may be stored and transferred unencrypted over public networks to conform and adapt to technical requirements of connecting networks or devices.
Payment, Refunds, Downgrade and Upgrade
Minimum CRM subscriptions must be purchased and paid for on behalf of your company, and for all users authorized to use Minimum CRM in your company. Users with Administrator rights in your company may grant and revoke rights to other users as needed.
Valid credit card information and/or prepayment must be provided for Minimum CRM subscriptions. By subscribing to the Service, you agree to pay Hermes İletişim or our designated payments processors periodic subscription fees indicated for the Service. Payments will be charged at the beginning of each period and are not refundable.
Unless you notify Hermes İletişim before the end of the applicable subscription period that you want to cancel your subscription, the credit card you provided will be automatically charged for all future fees.
There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.
All changes to your subscribed services will be effective immediately.
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, duties.
Suspension, Cancellation, Termination
You are solely responsible for properly canceling your account.
In order to cancel you have to fill the form on https://www.minimumcrm.com/maksimum-iletisim The acceptance of your cancellation will not render you any valid reason to aspect a reimbursement, refund, payback or compensation in full amount or partial. If you cancel your subscription, you will noy be charged for the next term.
Hermes İletişim, in its sole discretion, reserves the right to suspend and cancel your account, terminate your access to all or any part of the Service at any time, with or without notice, effective immediately, if it believes the terms of service have been violated or its services otherwise abused. Such termination of the Service will result in the suspension or deletion of your account or your access to your account, and the forfeiture and relinquishment of all the content in your account. Hermes İletişim reserves the right to refuse service to anyone for any reason at any time.
Modifications to the Service and Prices
Hermes İletişim may make modifications or discontinue the Service or any part of the Service at any time or from time to time, temporarily or permanently with or without notice. Hermes İletişim shall not be held liable for any modification or discontinuation of the Service as described in the Terms.
Hermes İletişim reserves the right to change the payment terms and fees upon thirty (30) days prior notice to you. Such notice may be provided at any time by posting the changes at the www.minimumcrm.com website or within the Service itself.
Copyright and trademark infringement claims
Should you encounter any content in Minimum CRM that infringes a copyright or trademark you own, inform us by filling in a feedback form. Make sure you:

Specify the copyrighted work or trademark that is being infringed.

Specify the content infringing the copyright or trademark. If applicable, include the URL.

Include your name, company (if any), email, phone number, and legal mailing address.

Declare your ownership of the copyrighted work or trademark.

Declare your request for removal of infringing content from Minimum CRM.
Advertisers and sponsors
We may work with advertisers and sponsors to subsidize the cost of the service. You accept that the cost of the service to you would have to be significantly higher without advertising and sponsorship revenues and consent to our cooperation with advertisers and sponsors in order to benefit from this reduction of cost. You must not prevent the display of advertising in the Minimum CRM website and emails we send to you using ad blockers or other methods. We will try to reduce irrelevant advertising and sponsor messages, by using any profile information you or others in your company store in Minimum CRM to select appropriate advertisers and sponsors that may be displayed to you.
Should we work with other advertising networks or partners to display advertising and sponsorship messages, we may share anonymized information about you or your company. Your specific contact information, person names, telephone numbers, emails, and files will not be shared with advertisers or sponsors.
We do not accept responsibility for the messages or claims of advertisers or sponsors.
Limitation of Liability and Disclaimer of Warranties
The Service is provided AS IS and AS AVAILABLE. Hermes İletişim and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Hermes İletişim nor its suppliers and licensors, makes any warranty i) that the Service will be error free, ii) that access thereto will be continuous or uninterrupted, iii) that the Service will meet your specific requirements, iv) that the quality of any products, services, information or other material purchased or obtained by you through the Service will meet your expectations, and v) any errors in the Service will be corrected.
Hermes İletişim, its suppliers and licensors may, at any time, without notice or liability to you, restrict in whole or in part the use of the Service or limit availability in order to perform maintenance activities and to maintain session control or for any other purpose.
In no event Hermes İletişim, or its suppliers or licensors, will be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to Hermes İletişim under this agreement during the three (3) month period prior to the cause of action. Hermes İletişim shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.
The failure of Hermes İletişim to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. The Terms constitutes the entire agreement between you and Hermes İletişim and govern your use of the Service, superseding any prior agreements between you and Hermes İletişim, including, but not limited to, any prior versions of the Terms of Service
Indemnification
You agree to indemnify and hold harmless Hermes İletişim, its suppliers, its licensors, their respective directors, officers, employees, agents and its affiliates from and against any and all claims, liabilities, damages, costs and expenses, including reasonable attorney’s fees, arising out of your use of the Service, including but not limited to your violation of these Terms, violation of applicable laws or regulations, your placement or transmission of any message, information, software or other materials on the internet and your negligent acts, errors, or omissions.
